1. Acceptance of these terms

These Terms and Conditions govern your access to and use of Vantra, including the website, workspace application, automation tools, AI features, integrations, and any related services we provide.

By creating an account, accessing the service, or using Vantra on behalf of an organization, you agree to these terms and represent that you have authority to bind yourself or that organization.

2. Eligibility and accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for ensuring that only authorized users access your workspace.

If you invite teammates or connect third-party services, you are responsible for ensuring you have the authority to do so and that your use complies with all applicable agreements, policies, and laws.

3. Use of the service

Vantra is provided for project planning, workflow automation, collaboration, documentation, and related operational work. You may use the service only in accordance with these terms and applicable law.

You may not use Vantra to:

  • Violate law or infringe the rights of others.
  • Send spam, phishing, abusive, or deceptive content.
  • Upload malicious code, attempt unauthorized access, or disrupt the service.
  • Process data you do not have permission to use or disclose.
  • Use automations or integrations in ways that violate third-party platform terms.
  • Reverse engineer, resell, or misuse the service except as allowed by law.

4. Workspace content and responsibility

You retain ownership of the content you submit to Vantra, including project data, tasks, notes, docs, comments, decisions, prompts, and automation configurations. You grant Vantra the limited rights needed to host, process, display, transmit, and back up that content to operate the service.

You are responsible for the legality, accuracy, and appropriateness of your workspace content and for configuring permissions, sharing, and approvals in a way that fits your organization.

5. Automations, AI features, and integrations

Vantra includes workflow automation, AI-assisted generation, and optional integrations. These features may create tasks, notifications, approvals, external requests, or generated outputs based on the triggers and instructions you set.

You are responsible for reviewing your automation logic, connected credentials, prompts, recipients, and outbound actions. AI outputs may be incomplete or incorrect and should be reviewed before you rely on them for important decisions.

Third-party integrations such as Stripe, Google, GitHub, Notion, and related services are governed by those providers' own terms and policies in addition to these terms.

6. Paid plans and billing

Some features may be offered on a paid basis. If you purchase a paid plan, billing will be handled through Stripe or another designated payment processor using the pricing, billing interval, and renewal terms presented at checkout.

You authorize Vantra and our payment processor to charge the applicable fees, taxes, and renewal amounts unless you cancel in accordance with the billing terms shown at the time of purchase. Access to paid features may change if payment fails, your subscription expires, or a charge is reversed.

7. Suspension and termination

You may stop using Vantra at any time. We may suspend or terminate access if we reasonably believe you have violated these terms, created legal or security risk, failed to pay required fees, or used the service in a way that could harm Vantra or others.

After termination, provisions that by their nature should survive will remain in effect, including ownership, payment obligations, disclaimers, liability limits, and dispute-related terms.

8. Product changes and availability

Vantra may evolve over time. We may modify, improve, replace, or remove features, integrations, pricing, or limits. We do not guarantee that every feature will be available at all times or that every beta or experimental feature will continue in the same form.

9. Disclaimer of warranties

Vantra is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, fully secure, or fit for every specific purpose. AI-generated content, automation outputs, and third-party integrations may produce incomplete, delayed, or incorrect results.

10. Limitation of liability

To the maximum extent permitted by law, Vantra and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities arising from or related to your use of the service.

To the maximum extent permitted by law, Vantra's total liability for all claims arising out of or relating to the service will not exceed the greater of the amounts you paid to Vantra for the service in the twelve months before the claim arose or one hundred U.S. dollars (USD $100).

11. Indemnity

You will defend, indemnify, and hold harmless Vantra and its affiliates, officers, employees, and contractors from claims, damages, liabilities, and expenses arising out of your content, your use of the service, your automations or integrations, or your violation of these terms or applicable law.

12. Changes to these terms

We may update these Terms and Conditions from time to time. If we make material changes, we will update the date above and may provide notice inside the product or by email where appropriate. Continued use of Vantra after an update becomes effective means you accept the revised terms.
